💸💸 Acquisition breakdown ++ THE REALITY of acquisitions Company I acquired (Encharge): 💰 Revenue: $32k/mo 🤑 MRR: $29,510 💸 Expenses: ~$17,000 💵 Profit: $15,000/mo ✍️ Money paid at signing: $250,000 Now, that's the top-level image IN REALITY, we signed a deal where we paid an amount upfront ($250k), out of a total valuation: $800k. The deal structure is: • $250,000 upfront • $150,000 after 6mo • $100,000 after 12 mo • $130,000 after 18mo • $170,000 after 24mo Total: $800,000 paid across 2 years. THAT'S really the catch with so many acquisitions. People talk about the total value (e.g. $800k) but the reality is a bit different I'll give you a more common example: • You see in the news: Startup founder SELLS for $100M • Yay, that's great!! Everyone imagines the same image as below: a wire transfer hitting for 9 digits: $100,000,00.00 sent to the founder's account • More: people imagine themselves in THEIR shoes. People read and imagine $100 MIL sent to THEM • But the reality is: 4 founders, so in theory $25m across each • BUT only a % of it was paid upfront, e.g. 15% • Another chunk (e.g. 25%, so $25M) is sent if X takes place in Y timeframe (e.g. company grows 2x in 2 years) • Another chunk (and this is very important) - only IF the founders have ⚱️ "golden handcuffs" ⚱️, meaning: they have to work for a boss they prob won't like after 3mo, for about 2-3 years. That's why you see so many founders f'ing off after that clause ends • BUT tax comes in there too • BUT bonuses paid to some close people to you along the journey Sooo for one founder: $3.75M (good luck with tax) + stress about whether 2x growth happens in 2y + golden handcuffs for 3y (towards the 2nd half most are 🧠 brain-ded within the company. Good luck with the conversation about purpose) If 40% goes to tax, that's $2.25M to one founder Still great, right? We're talking about millions. But if it's a big city... And everyone around you reads the news and think "Look at this guy, just got $100m to his name and now he's like this? $300k made 🥳 54% of debt paid Guys I wish I'd have shared more but it got busier and busier But a few days ago we've hit $300k that's 54% of the debt paid, as we've paid: • $250k down for this company • Company doing $29k MRR • $17k expenses • $12-15k profit (depending on who pays for yearly plan, contracts, etc) • $800k total acquisition valuation • $550k (the debt) have to be paid, in total at the 6/12/18/24th month mark So we're at 0% 🟩🟩🟩🟩🟩⬜️⬜️⬜️⬜️⬜️ 100% of the debt paid To be honest I didn't+don't expect the full debt to be paid butttt It's defo more than I thought! Half of it paid a few months after acquiring the company. That means every month of profit now puts us in the green Before, we've had to put money aside for the debt Maybe even be in the red/negative for some months (although we have other, profitable companies in the holding company, which could've paid - we wouldnt' need to put our hands in our pockets) But now, with this influx, that means we're in the green every month: So we can put money aside for the debt AND pull a profit Profit for... a future acquisition? 👀 Stay tuned.

🤑🤑 We just sold our SaaS for 6 figures ✍️ Honest lessons I wish I knew - would have saved me time 1. Copy something that works… • We weren’t the first Notion website builder. • But I tried innovating still. • If I were smarter (I’m not, but at least not as dumb as I was initially), I’d just copy something that already exists and works → add my take on it. • Don’t copy as in steal. But copy and add the things you think you can do better. • You’ll always figure some stuff out you can do better, even if it’s down the line. 2. … or stay in the lab • Or maybe you want to keep inventing stuff. Good luck. • My first success was that - and then my next 3-5 attempts were failures because I thought I had to invent new software products. • My first success was pure luck, btw. And I’m the first one to admit. • I tried replicating that luck - and burnt about $100,000. When we started building something that was already validated, we sold the company (this one) 3. Build smth you’d want to acquire • Sound trivial but... put yourself in the shoes of someone who’s acquiring. • They have money - they want to make their money make more money. That's all there is to it. 4. Actually just copy something that works • It’s the same as point 3 but… • Innovation is for geniuses and losers • The problem is, you only find out if you’re a genius/loser months or even years after. • From my POV, I didn't care to find out how smart I am — I care about getting rich • When I say Rich = rich in the right way. Provide a lot of value to people and, in a fair way, charge for that. 5. Turn a buck • Profit. We optimised for profit. Idk what else to tell you other than do the same • You might say "obviously I'll do that" but I actually mean it. Not for me, but for your acquirer • I haven’t sold like DeepMind sold to Google. I didn’t raise VC money. So idk what to tell you about that path. • I sold something that was very profitable, operated in a very lean manner. I suggest you do the same - for your mental health (see next point) and for your acquirer. 6. You can only sell when you don’t necessarily have to sell • That’s leverage. That’ll protect you from making stupid decisions, accept lowballs, thinking short-term, etc • Deal goes through? Great. Deal falls? Great. 7. Farmer, not hunter • I’d avoid: FB/Google ads, PR, “going viral”, etc. • “Hunting” is one-off • I didn’t really suceed at going viral, though I tried loads of stuff… ultimately SEO was the way we were farmers. Farming keeps on reaping benefits • This isn’t some wisdom mantra here. It’s because of one thing and one thing only: YOUR ACQUIRERS WILL WANT TO REAP THE BENEFITS OF YOUR FARMING. • THEY CAN'T DO THAT FOR HUNTING. • See point 1 - you wouldn’t spend $1M on an influencer’s stupid company if all its success came down from their influencing. • MRR comes every day thanks to those 2 nerds SEO, which is faceless/nameless/etc? Yes, I’d buy that company. 8. It takes time. • No one wants to hear this - I don’t want to hear it either as I’m starting new companies now… but it does. • I’m young so idk what else to say here. I’m still impatient… 9. When selling, list the startup everywhere • We sold the company through @acquiredotcom (and paid the fairly-earned 4% commission to them) • But really, list the company everywhere - even when you’re not selling (see point 6). • Twitter, Acquire, Flippa, FB groups, etc. It’s better to have optionality. • If you follow point 6, who knows - you might end up with a very good offer/price. And guess what - maybe for that price, you do want to sell! ————— That’s all I have now, but will think of some more. Why am I doing all this? In all honesty: I started SaaSPad and I want your attention.
