New Rules (Effective January 2025):
1.) Faster Suspension of Trading
- If a company uses both 180-day compliance periods (360 days total) and still fails to meet the $1 requirement, they must move to OTC during any appeals
- Can still appeal, but no longer able to trade on Nasdaq during the appeal process
2.) Stricter Rules on Reverse Splits
- If a company does a reverse split and then falls below $1 within one year, they face immediate delisting proceedings
- No compliance period will be granted in this scenario

2. Management Commentary
One of the most reliable indicators of an imminent offering. Due to disclosure rules (ASC 205-40), companies must state if they have enough cash to operate for the next 12 months. If management gives a tight timeline, an offering is likely coming.
