TESLA AFTER A SPACEX IPO Many analysts assume a static pie — i.e. a scarcity mindset. They think a SpaceX IPO hurts Tesla longterm by splitting Elon’s (and investors’) attention. They somehow forgot that Elon Musk built both Tesla & SpaceX simultaneously to trillion-plus valuations. Tesla has always been volatile, a SpaceX IPO is just this week’s excuse. Traders make money from volatility. These analysts are ALREADY WRONG. Within 3 months of AJ’s doomsday 2/25 analysis, Tesla & SpaceX are deepening a mutually beneficial partnership. This isn’t a zero-sum game. Instead of each company remaining on a trajectory to be an $8 Trillion company, Elon Musk leveled up to a new 100 Trillion market cap goal. Instead of competition between Musk companies and divided loyalty, Elon Musk has tasked Tesla/SpaceX/xAI with one audacious mission: remove the constraint of Earth and its limited resources by kick-starting a true Space Economy flywheel. Digital Optimus, the Terafab and AI Space Compute are just the start. A SpaceX IPO primes the flywheel with initial operating cash. ALTITUDE MATTERS! For Starship 7 Launch the FAA issued a NOTAM (Notice to Airmen) that specified the closed airspace area around the launch, and a broader warning area under Starship’s planned path. Starship 7’s rapid unscheduled disassembly occurred over the NOTAM’d WARNING area. Why was this airspace not CLOSED to begin with? EXPLOSION IN SPACE Because SpaceX and the FAA calculate what Starship’s ALTITUDE will be along its path. Starship was in already in SPACE (~90 miles above the earth) when it exploded. ROCKETS TRAVEL IN SPACE & AIRLINERS FLY IN THE ATMOSPHERE Most airliners have a max service ceiling of 41,000 feet or ~7 miles above the earth. The explosion, while spectacular, posed no immediate danger to planes far, far below. It occurred more than 83 miles above them! PLAN ACTIVATED What happens next? SpaceX notifies the FAA of Starship 7´s rapid unscheduled disassembly, the FAA activates the warning area, & ATC follows normal procedures and vectors planes out of or around the Warning zone airspace—long before any debris could possibly fall to the altitude of a plane below. These calculations are done, and contingency plans made, in advance. The FAA doesn’t HOPE for the safety of the airliners, it KNOWS they will be safe, by DESIGN. Anytime some airspace is restricted—TFRs can be issued for the President’s movement, the SuperBowl, Military airspace—it can create delays. Since this was NOTAM’d prior to the launch, airlines can choose to flight plan around the warning area, or carry extra contingency fuel to hold, or plan to divert if required. From a pilot’s perspective, this is the same type of contingency planning we do for weather, like thunderstorms. Today a few planes rerouted, a few held, a few experienced ground stops. To put it in context, a few DOZEN planes were effected today whereas the average Houston Thunderstorm, or a Presidential fundraiser typically create HUNDREDS of delays… STUNNING VIDEOS! The videos are attention getting and stunning. This video from the flight deck is my favorite! Lucky pilots, I’m so envious. But some are misinterpreting the videos (because people aren’t used to judging altitudes of objects, and to them it looks close). These space debris are MILES further away than they appear. The FAA did its job. SpaceX followed protocol. SpaceX already identified the mechanical issue, and potential fix, allowing the cadence of launches to stay on track. @spacex @elonmusk (Note: My apologies in advance for providing inconvenient facts that contradict false outrage).

Then pay the man! How engaged would you be in your job with no current comp package? I have done multiple posts on this—the last milestone of Elon Musk’s 2018 comp package was met in 2022. It is 2024. Elon Musk isn’t Tesla’s indentured servant. There is no current incentive comp plan. We would pay any other Tesla CEO! And they wouldn’t do as good of a job as Elon Musk. Give him a big huge goal—like making 10,000 Bots and Tesla’s market cap as big as Saudi + Aramco combined and watch him achieve it!! And no, holding shares isn’t incentive enough. Bezos quit. Gates quit. And he will use the money to further huge projects for humanity. Accelerate AI & Automation for good. Send more Starships to Space. It isn’t about mansions or yachts. The fundamental issue is that half of all publicly-traded shares are controlled by passive index funds who, for the most part, outsource their shareholder vote to the advisory firms of ISS and Glass Lewis. ISS and Glass Lewis have no actual ownership themselves and often vote along random political lines unrelated to shareholder interests! This is a major problem that is not just limited to Tesla. For example, they recommend voting against re-electing one of our excellent longstanding directors, Ira Ehrenpreis, for “insufficient gender diversity”, but, at the same time, also recommend voting against re-electing Kathleen Wilson-Thompson!

XAI creates the foundation models that are also needed. Win/Win to work in close partnership. 3) STILL EARLY. Initiatives like Macrohard isn’t in the X/xAI valuation yet. Last year’s valuation doesn’t matter, it is gone. The opportunity we have for Tesla to potentially make an investment this fall. We are still very early: This is just what has been announced, what else are xAI/X working on that hasn’t been?
Join @xAI and help build a purely AI software company called Macrohard. It’s a tongue-in-cheek name, but the project is very real! In principle, given that software companies like Microsoft do not themselves manufacture any physical hardware, it should be possible to simulate them entirely with AI.

How we vote is our choice: We EARNED the right and the votes when we bought the shares. Today's Tesla Shareholder Letter with over 5,000 diverse participants representing 23 Million+ shares, unsurprisingly, AFFIRMS the 2018 shareholder vote. Tesla Shareholders did know the great working relationship between Elon Musk and the Board of Directors (in fact the directors were elected because each was highly qualified, brought diverse experience and there would be exactly this good relationship) and shareholders understood and knew what we were voting for in 2018. And still now in 2024, 5+ years later: Shareholders uphold the prior vote (even those that just recently purchased shares) and don't want it rescinded. With knowing how the risk played out and how successful Tesla became and the ultimate value of the pay package. Shareholders want the vote to stand and for Elon Musk to keep all awarded stock options. I know that Tesla wants to sell EVs to India but US-India import tariff is like 100%. Elon want to negotiate this as well as building factory in India but it is not going well. South Korea also has an FTA with India called CEPA. Under this agreement, cars made in S.Korea are subject to a 1-5% tariff when exported to India. So I guess that Elon is using Korea as a bargaining chip. That's all. The reason I think a Tesla factory in Korea is unlikely is because of the notoriety of Korean auto unions, and I'm sure Elon knows this.

A Letter to Our Shareholders on the 2025 CEO Interim Award Dear Fellow Tesla Shareholders, Today we announce an important first step in compensating Elon Musk for his extraordinary work at Tesla. As you know, Elon has not received meaningful compensation for eight years since the 2012 CEO Performance Award was last earned in 2017. Despite overwhelming support from you in 2018 and again in 2024, our legal efforts continue in the Delaware courts to reinstate the 2018 CEO Performance Award. Despite these legal challenges, we can all agree that Elon has delivered the transformative and unprecedented growth that was required to earn all milestones of the 2018 CEO Performance Award. This growth has translated into immense value generated for Tesla and all our shareholders. To recognize what Elon has accomplished and the extraordinary value he delivered to Tesla and our shareholders, we believe we must take action to honor the bargain that was struck in 2018. After all, “a deal is a deal.” Thus, as evidence that Tesla is committed to honoring its promises in the 2018 CEO Performance Award and intends to compensate its CEO for his future services commensurate with his contributions to our company and shareholders, we have recommended this award as a first step, “good faith” payment to Elon. Delaware litigation continues to loom over us after seven years. As we told you last year, the 2018 CEO Performance Award resulted in a $2.3 billion stock-based compensation charge to Tesla but brought about $735 billion of increased market capitalization. Despite delivering such extraordinary returns, that award continues to be in legal limbo despite two separate shareholder votes supporting it by large margins. Furthermore, we have no clear timeline for resolution, as we are still waiting not only for a ruling, but a hearing date to be heard in front of the Delaware Supreme Court.  Rewarding Elon for what he has done and continues to do for Tesla is the right thing to do. Retaining Elon Is More Important Than Ever Before Today, Tesla is at a critical inflection point that has the potential to create continued extraordinary value for you, the shareholders. Through Elon’s unique vision and leadership, Tesla is transitioning from its role as a leader in the electric vehicle and renewable energy industries to grow towards becoming a leader in AI, robotics and related services. To succeed, it requires a leader who combines strategic foresight, adaptability, and relentless execution to outperform competition and inspire the team. Elon has demonstrated these unmatched leadership abilities time and time again with his unparalleled track record of delivering shareholder value since he joined as a founding figure and spearheaded the transformation of our extraordinary company. And while these impending changes are exciting, the outcomes are not guaranteed. It is imperative to retain and motivate our extraordinary talent, beginning with Elon. The war for AI talent is intensifying, with recent months including multi-billion-dollar acquisitions of companies and nine-figure cash compensation packages for non-founder, individual AI engineers. Even among this group of highly talented individuals, no one matches Elon’s remarkable combination of leadership experience, technical expertise, and, arguably most importantly, decades-long proven track record of building the most revolutionary and profitable businesses across different industries. While we recognize that Elon’s business ventures, interests and other potential demands on his time and attention are extensive and wide-ranging, including his leadership roles at xAI, SpaceX, Neuralink, X Corp., and The Boring Company as well as his other interests, we are confident that this award will incentivize Elon to remain at Tesla and focus his unmatched leadership abilities on further creating shareholder value for Tesla shareholders and attracting and retaining talent at Tesla. To be clear, losing Elon would not only mean the loss of his talents but also the loss of a leader who is a magnet for hiring and retaining talent at Tesla. The Special Committee believes now is the right time to take decisive action to recognize the extraordinary value that Elon created for Tesla shareholders. As such, the Board (with Elon and Kimbal Musk recusing themselves), has unanimously approved a recommendation from the Special Committee of the Board to grant Elon an award of restricted stock equal to approximately one-third of the compensation he earned under the 2018 CEO Performance Award. The award provides the following provisions: • 96 million restricted shares of stock, subject to Elon paying a purchase price upon meeting a two-year vesting term, to be delivered after receipt of antitrust regulatory approval; • The purchase price will be equal to the split adjusted exercise price of the stock options awarded to Elon under the 2018 CEO Performance Award ($23.34 per share); • A requirement that Elon serve continuously in a senior leadership role at Tesla during the two-year vesting term; • A pledging allowance to cover tax payments or the purchase price; • A mandatory holding period of five years from the grant date, except to cover tax payments or the purchase price (with any sales for such purposes to be conducted through an orderly disposition in coordination with Tesla); and • If the Delaware courts fully reinstate the 2018 CEO Performance Award, this interim award will be forfeited or returned or a portion of the 2018 CEO Performance Award will be forfeited. To put it simply, there cannot be any “double dip.” Elon will not be able to keep this new award in addition to the options he will be awarded under the 2018 CEO Performance Award should the courts rule in our favor. The Special Committee, consisting of the two of us, was formed earlier this year to consider how best to retain and incentivize Elon in a manner that aligned with the best interests of the Company. The Special Committee and the Board deliberated carefully over the decision to grant this interim award against the backdrop of the ever-intensifying AI talent war and Tesla’s position at a critical inflection point. We believe it directly addresses a top concern and priority for shareholders and the Board alike: energizing and focusing Elon on Tesla so he can propel Tesla into its next era of growth, while we continue the legal campaign to have the 2018 CEO Performance Award reinstated. This interim award is structured to incrementally increase his voting rights upon grant, which he has repeatedly told us—and shareholders have confirmed—is an important part of incentivizing him to stay focused on the critical work we are doing here at Tesla. We believe this is a vital consideration, and we used the tools currently available to us—our existing equity incentive plan—to grant this award. We would also like to stress that prior to recommending this award, we reviewed your letters, read your X posts, and considered the direct feedback we have received from many of you in order to align our recommendation with your expressed views. From those communications, we know that one of your top concerns is keeping Elon’s energies focused on Tesla. This award is a critical first step toward achieving that goal, although it is limited by the capacity of our current equity incentive plan. As such, we are also working on next steps to address that issue. Still, while our work remains ongoing, we feel it is important to communicate directly and transparently with you all, our shareholders and Tesla’s owners. The New Tesla Energy Project in Australia is to solve a Solar Duck Curve Problem What is that? And how do Tesla’s Big Batteries, ie Megapacks, help? 🔺When a large part of the population has rooftop solar, but doesn’t have in-home storage batteries, the grid gets negative demand in the middle of the day when the sun is shining. 🔺Then, when the sun stops shining and temps fall, electricity demand sharply spikes. 🔺Challenging for a grid, especially an independent grid like this one in Australia, that can’t get excess electricity from nearby grids. 🔺This is where Tesla’s MegaPacks come in. They can store the excess energy in the Middle of the Day and provide it back to the grid when the demand spikes at night. Tesla’s smart software helps stabilize the grid and determine MegaPack use. 🔺 Why Solar Duck? Graph can look like the slope of a duck’s back and head from the side. 🔺Adding renewables like wind & hydro power too (not dependent on sunlight) can lessen, but not eliminate, the problem.

Tesla, focus on quality. Only 12% Degradation after 200,000 Miles! 🔺A cause of battery degradation is the solvents in the wet process of making a battery. The dry battery electrode process doesn’t use solvents, which removes this cause of degradation. DBE 4680s will likely degrade even less than this measly 12%. 🔺Battery minerals are almost 100% recyclable. They need to be mined once and can be used multiple times. 🔺Also, 200,000 Miles usage! Remember when a car died around 100,000 miles, or was constantly in the shop after 80,000? EVs are more reliable and cost less to own than ICE.

Tesla is managing towards the end goal of what S3XY pricing will be once Highland is released. 🧵 Tesla pricing strategy considers the following components: 🔺CLEAR OUT PARTS INVENTORY (specifically inventory on parts that will no longer be needed down to 0. Remember Tesla is moving to warehousing rather than just in time parts delivery) in advance of Highland 3 and with other production/design innovations like the new electric powertrain moving into production (note the Hairpin motor of the cheaper powertrain already appeared on Paperwork Tesla filed with the government in Germany) 🔺TESLA ALWAYS PASSES ON LOWER COSTS TO THE CUSTOMER: A few known COGs improvements include more productions with Dual Castings. A Dual Castings EV has fewer parts and steps & costs less to produce, in less time. Tesla has more structural pack battery deals in place (CATL Shanghai, BYD Berlin, 4680 US) allowing more dual castings. Another known COG improvement: The new electric powertrain is also cheaper. Also: Highland Model 3 will be significantly cheaper to produce. Tesla continuously removes steps and drives down costs. Also raw material prices coming down as Covid-induced inflation falls off. Tesla indicated plans to renegotiate many supply deals this summer for lower costs. Higher volumes also offers scale discounts. Tesla always passes on cost improvements to consumers. 🔺 MODEL 3 HIGHLAND APPEARS IMMINENT. Tesla Shanghai laying off battery pack assembly workers from 1 of 3 assembly lines. Note CATL will be supplying assembled structural packs (announced by CATL, but not Tesla). CATL is a Tesla supplier on the impact report. Chinese media announced the CATL M3P structural packs will be used in the Model 3 Highland out of Shanghai, and then maybe the Model Y. 🔺 TESLA MANAGING TO END GOAL OF S3XY PRICING WITH HIGHLAND MODEL 3. All the prices in a manufacturers product line up need to make sense together, IE a Model 3 can’t be more expensive than a Model Y (even though it has cost more to produce) and similarly a Model Y can’t be 20K more than a Model 3 unless it offers 20K more in value. The Highland will cost less to produce and is likely planned at a very attractive price point, which will impact the overall lineup. 🔺LOGISTICS MANAGEMENT. Tesla is flattening the delivery wave. Small price cuts can sell more vehicles local and therefore reduce Tesla’s delivery costs and ease logistics. Tesla said small price cuts generate a high volume of orders. And small price raises also create more orders (FOMO of having missed the lowest price). ZOOM OUT! Some may misinterpret price moves as a ‘DEMAND ISSUE’. Patently FALSE after Tesla’s record quarter—with Model Y likely remaining the World’s Best Selling Vehicle for the first half of the 2023.
With this new discount it means this Model 3 below now start at $29,620 including the federal EV tax credit (for those eligible). Include local incentives from states like California or Colorado and the price can get down to about $24,620. A Honda civic starts at $23,750.
