Four years ago, a single conversation changed everything.
I was catching up with my friend Dean Sutton, swapping stories about the different ventures we were building. I asked him:
“What do you think would happen if we dropped everything and focused all our energy on just one thing?”
The next day, I incorporated what would become WonderFi.
Today, @WonderFi has been acquired by @RobinhoodApp .
It’s hard to put into words what this journey has meant — we experienced it all: hypergrowth, acquisitions, regulatory battles, a public listing, lawsuits, shareholder battles, markets crashing, FTX collapse, markets booming… and now this. What an incredible chapter to close.
It’s especially surreal as this milestone comes just as I launch my next venture, @xtaohq.

Our goal with xTAO is simple: build core infrastructure, earn sustainable cash flow, and compound value alongside the Bittensor network.
Yes we hold TAO and now appear to be the largest public company holder of TAO, but that’s not what really matters. We’re building a business around Bittensor infrastructure to make decentralized AI accessible to everyone, not just crypto natives.
Unrelated note - we’re hearing the issues that US investors are having in accessing xTAO stock and are actively working on that - it's a top priority.
xTAO now holds 41,538 TAO and counting. Holding TAO is part of our core strategy will be complementary to our validator operations and other infrastructure we’ll be building on Bittensor.

So exciting to see this come together. Robinhood keeps pushing the envelope and couldn't think of a better partner for WonderFi.
Note that caption says the deal closes in July but it should say second half of 2025.

(9/10) I wouldn’t usually dive into this so much, but given the recent wave of crypto treasury companies and the wide range of capital structures that come with them, it's important to cover. There are also some very opaque and confusing structures, which is why I think transparency is key (always, but especially in this environment). xTAO has raised one round of financing - ~$22.78M USD at $1.00 per share (~22.78 million shares). There are an additional 5.54M shares outstanding which belong to founders and former shell shareholders - 100% of these shares are on a ~6 year lockup schedule. For those familiar with public markets, this type of lock-up is unheard of. I created this to align with my personal conviction around TAO. We're not here for a quick buck.

Great article by @Taotreasuries. Anyone investing in crypto treasury companies should read and understand this.
This is so critical because so many peoples' first interaction with crypto will be through a public equity - and if that public equity has a capital structure that is designed to dump on retail / is extractive, it ultimately will reflect poorly on the underlying asset.
Some quotes from the article:

That is our foundation - but we will be running a validator and exploring other strategic opportunities to grow the network. I believe we are very well positioned to do so as a team.

(8/10) We raised ~$23M USD from crypto VCs and angels who are long TAO. Having raised a lot of capital before, I know the importance of having investors who are aligned with your vision. We raised all of this capital non-brokered (which means no broker fees or broker warrants). We also have no legacy capital structure - what you see is what you get.

(3/10) A big reason for that, was because the deeper I got into the Bittensor ecosystem, the more clear it was to me that TAO needs an accessible entry point. Incredible talent and growth on the network, but not currently accessible or understandable for the average person. I’m reminded of the first Bitcoin miner going public, and how that made Bitcoin accessible and brought immense value to the network by packaging Bitcoin up differently: a sound business model that was able to win over non-crypto investors, tied to an incredible growth asset. That was the inspiration for xTAO.

(4/10) We started building xTAO in November of last year. We wanted to build something that was first and foremost high integrity and sustainable, that would become THE institutional product for TAO, and would help bring Bittensor to the masses.
To me, that requires three elements:
-A high quality team with a long-term vision;

No. One of the advantages of our structure is we don't have the high overhead of a legacy business (that comes comes with some of the crypto treasury companies). IMO that is crucial with more nascent assets like TAO that will have larger draw downs in a bear market than BTC
