More than 60% of the Fortune 500 and ~80% of public US companies are incorporated in Delaware for:
-some tax advantages
-a court system tailor-made for corporate issues (e.g. judges with subject matter expertise, rather than juries)
-flexibility, speed, simplicity, privacy
But the Delaware court system has ruled against Musk 2 times now:
1. This week, when the Delaware court struck down his contractual ~$55 billion pay package from $TSLA. Basically, they decided it was too high even when 80% of the shareholders voted in favor of it!
2. In 2022, when the courts rejected Musk’s attempt to break his $44 billion agreement to purchase Twitter.
After that fiasco, Musk reincorporated Twitter in Nevada. We’ve seen the power of Musk before. Could he initiate a corporate exodus to other business-friendly states, like Nevada or Wyoming?
